२)कंपनी की भूमि की उपज में क्या भाग होना चाहिए?

उपरोक्त प्रश्नों के हल के लिए राजस्व बोर्ड के प्रधान सर जॉन शार और अभिलेख पाल(RECORD keeper) जेम्स ग्रांट के साथ लॉर्ड कार्नवालिस का लंबा वाद विवाद हुआ। लॉर्ड कार्नवालिस ने जमींदारों को भूमि का स्वामी मान लिया और 1790 ईस्वी में उनसे 10 वर्षीय व्यवस्था की। 1793 ई. में उसने इस व्यवस्था को स्थाई बना दिया। इस व्यवस्था के अंतर्गत जमींदारों को एक निश्चित राशि पर भूमि दे दी गई। जमींदार की मृत्यु के पश्चात उसके उत्तराधिकारी को भूमि का स्वामित्व प्राप्त हो जाता था। जमींदारों को यह निश्चित राशि एक निश्चित समय को सूर्यास्त के पहले चुका देनी पड़ती थी नहीं तो उनकी जमीन नीलाम कर दी जाती थी इस कानून को सूर्यास्त कानून कहा जाता था।

इस बंदोबस्त के अन्य दूरगामी परिणाम भी हुए और इन्ही के द्वारा भारत में पहली बार आधिकारिक सेवाओं को तीन स्पष्ट भागों में विभक्त किया गया और राजस्व, न्याय और वाणिज्यिक सेवाओं को अलग-अलग किया गया।
