I was working like normal on my computer today and then it crashed.  So I shut it off and then I got a POST message saying

"System Failure due to Overclocking"

No overclocking done on my chip

Got it to boot, then I got this message from Windows

A problem has been detected and windows has been shut down to prevent damage to your computer.

PAGE_FAULT_IW_NONPAGED_AREA

If this is the first time you seen this Stop error screen, restart your computer. If this screen appears again follow these steps:

Check to make sure any new hardware or software is properly installed. If this is a new installation, ask your hardware or software manufacturer for any window updates you might need.

If problem continue, disable or remove any newly installed hardware or software. Disable options such as caching or shadowing. If you need to use software to remove or disable components, restart your computer, Press F8 to select Advanced Startup options, and the selec state mode.

It then restarted and i got the same overclocking message

Also, One more time I tried it I got to the BIOS, then froze on me.

I'm afraid that its the Chip cause a friend of mine had the same problem, but I'm not sure if its either the chip or the board, or both.

His L2 Cache had burned out, and tahts why I'm wondering if it could be the chip.

Either way its an expensive replacement

Its an ASUS P4P800 Deluxe Board with a P4 2.8GHz processor for the specs.

I can stick an old chip from my parents computer to test it, but I'm afraid I'll screw taht one up too.  Any help would greatly be appreciated.  
Try this one.
Friend I think you recently install software that manually increase your processig speed. Usually advertised as"boast your PC PERFORMANCE in just 2 seconds".
If you recently install that software then do remove it and never try to REINSTALL it bcz if you get work from a machine GREATER than it can, it may be damage. Also it is one of the reasons that cause cache memory to burn out.
Also try this one.
Goto BIOS setup and load the factory default settings. Also reduce the clock ratio.

DrWahabThanks for the idea, will try for the bios, but I messed with most of the settings, and it is back to as far as it can be factory installed except for the update needed to run XP SP2.  It worked a bit better, but this time it just got to windows loading, and then froze up again, followed by the same error.  Tried to repair windows so I could at least save my FILES and got the same error as before.  Still not sure how this happened, but I did find a lot of dust around the heatsink and the chip itself, so I think it possibly overheated because of that, but it still a bit mind boggling to me.  I have built 4 computers and never had this problem before. You most likely found the problem.well, I stuck in the older chip from my parents computer today, and found out that I had the same problem.  So, the only thing I could think of at this point other than the mother board was that I put in new memory a couple of weeks ago, and now I have took that out, and found that seems to be the problem.  I find that very strange cause it is Corsair XMS memory, and I have never found any problems with their memory before.  I was wondering if it could be my power supply not supplying enough power.  I have a 420 watt, but i had 4 256 chips installed for a gig, followed by a 2.8 gig with a dvd burner and dvd drive, and an ATI Radeon x800 PRO.  Any ideas on why this is happenin would be great.  I bought the memory from Newegg, which means it is going to take a decade to see my money back and have to pay to send it to them.  They are great but their returns royally suck.
