Well, unless you got HP or compaq, you got the on computer recovery program already with your computer so you can try using that (if this applies to you)

I was reading somewhere that if you are "SWITCHING for a new motherboard it does ask for activation and it fails, then call the support number it gives you, tell them it's to replace a faulty M/B, and they will reactivate it for you."

And maybe if you just upgrade your CPU and then call microsoft for REACTIVATION and tell them you are reactivating cuz you were just REPLACING the motherboard it might work....Thanks for the info guys. The only problem is that my warranty expired a month or two ago. I contacted microsoft and they told me to talk with the manufacturer. So I did, only to find out I was going to have to pay $30 for 15 minutes of support. LOL. Do you think I can STILL get this disk with my warranty being expired? I cant really take any chances or try to get lucky on this because my girlfriend uses this PC to take online classes. I cant afford for this machine to have any down time.
